We’re working with a digital infrastructure company who are looking to bring on a senior corporate lawyer for the next 4-6 months to provide immediate support across a range of high-impact legal workstreams.
The focus will be on general corporate and capital markets matters, with additional involvement in M&A, debt financing, governance, and strategic planning.
The ideal lawyer will have experience working in a bank or in-house at a digital infrastructure company, with a strong understanding of complex cross-jurisdictional M&A/debt transactions and the ability to manage external advisors and documentation processes.
Key responsibilities include:
Project management and coordination with external advisors on debt processes, including liaising with independent experts;
Strategic advice on planning, structuring, and negotiating debt terms for cross-border financing related to data centre development and AI/HPC hardware procurement;
Review and negotiation of debt transaction documents (drafted by external counsel);
Drafting and implementation of ancillary documents, regulatory filings, conditions precedent, and post-closing deliverables;
Support for additional corporate workstreams, including global corporate restructure implementation, post-Series B completion deliverables, JV closing and post-completion work, other M&A transactions including due diligence and documentation, corporate governance advice to the board and stakeholders, and Head of Office contracting and advisory.
What skills are required?
Background in banking or digital infrastructure preferred;
Strong cross-border transaction experience;
Ability to manage external counsel and complex documentation processes;
Familiarity with corporate governance and M&A implementation;
Strategic thinker with excellent project management skills.
