We’re working with a digital infrastructure company who are looking to bring on a senior corporate lawyer for the next 4-6 months to provide immediate support across a range of high-impact legal workstreams.

The focus will be on general corporate and capital markets matters, with additional involvement in M&A, debt financing, governance, and strategic planning.

The ideal lawyer will have experience working in a bank or in-house at a digital infrastructure company, with a strong understanding of complex cross-jurisdictional M&A/debt transactions and the ability to manage external advisors and documentation processes.

Key responsibilities include:
  • Project management and coordination with external advisors on debt processes, including liaising with independent experts;
  • Strategic advice on planning, structuring, and negotiating debt terms for cross-border financing related to data centre development and AI/HPC hardware procurement;
  • Review and negotiation of debt transaction documents (drafted by external counsel);
  • Drafting and implementation of ancillary documents, regulatory filings, conditions precedent, and post-closing deliverables;
  • Support for additional corporate workstreams, including global corporate restructure implementation, post-Series B completion deliverables, JV closing and post-completion work, other M&A transactions including due diligence and documentation, corporate governance advice to the board and stakeholders, and Head of Office contracting and advisory.

What skills are required?
  • Background in banking or digital infrastructure preferred;
  • Strong cross-border transaction experience;
  • Ability to manage external counsel and complex documentation processes;
  • Familiarity with corporate governance and M&A implementation;
  • Strategic thinker with excellent project management skills.
